TERMS & CONDITIONS

General terms for websites, software licences and SaaS services

Digital Pro & Digital Robust

1.Acceptance and Contracting Entity

These Terms & Conditions (“Terms”) govern access to and use of the websites, software, SaaS platforms, desktop applications, digital products, documentation and related services provided by Digital Pro and/or Digital Robust (the “Provider”, “we”, “us” or “our”). Digital Pro has operated since 2017 and Digital Robust was established in 2024; both are associated with Mr. Sandeep Shah. The contracting entity for a purchase is the entity named in the applicable order, invoice, quotation or signed agreement.

By accessing the website, creating an account, accepting these Terms, purchasing a product, downloading software or using a Service, you agree to these Terms. If you do not agree, do not access or use the relevant Service. If you act for a business, you confirm that you are authorised to bind that business.

2.Definitions and Product-Specific Terms

“Software” means any desktop application, SaaS platform, AI tool, portal, utility, update or related product supplied by us. “Customer Content” means data, files, contacts, text, prompts or other material submitted by or for you. “Subscription” means a time-limited right to access a Service, where applicable.

Product-specific terms, order forms, licence terms, technical specifications, service-level commitments, data-processing agreements and refund policies may apply to a particular product. If they conflict with these general Terms, the more specific written terms will prevail for that subject, to the extent stated in them.

3.Accounts and Security

You must provide accurate and up-to-date registration and billing information and keep your login credentials confidential. You are responsible for activity under your account except to the extent caused by our breach or as otherwise required by law. Notify us promptly if you suspect unauthorised access.

We may require identity, business or payment verification before activation or continued access. You must not share credentials, bypass licence controls or permit access beyond the purchased licence scope.

4.Licence and Permitted Use

Subject to payment of applicable fees and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable and revocable licence during the applicable licence term to use the Software for your own lawful business or personal purposes, within the user, device, territory, feature and usage limits specified in the order or product documentation.

Unless expressly authorised in writing, you must not resell, sublicense, rent, lease, distribute, publish, transfer, white-label, make available to third parties, reverse engineer, decompile, disassemble, modify, create derivative works from, circumvent technical restrictions in, or attempt to access the source code of the Software, except to the extent a restriction is prohibited by applicable law.

Any white-label, reseller, distributor, API, enterprise or multi-user rights must be expressly granted in a separate written agreement.

5.Orders, Fees, Taxes and Payment

Prices, currency, billing frequency, licence duration, included features, usage limits and renewal terms will be stated on the relevant product page, quotation, checkout page, invoice or order form. You authorise the applicable payment method for the amounts you approve.

Unless expressly stated otherwise, fees are exclusive of applicable taxes, duties, bank charges and payment-provider fees. You are responsible for taxes imposed on your purchase, except taxes on our net income where applicable. You must provide accurate billing details and promptly pay undisputed amounts when due.

If payment is overdue, we may provide notice and suspend access after a reasonable opportunity to cure, subject to applicable law and any product-specific agreement. We may correct obvious pricing or clerical errors before accepting an order and will provide a reasonable remedy if an order has already been charged incorrectly.

6.Subscription, Renewal and Licence Term

The licence or subscription begins on the activation date or other date stated in the order and continues for the purchased term. Renewal is automatic only if the checkout or order clearly says so and the required renewal information and consent have been provided. Where renewal is not automatic, the customer must purchase a renewal to continue after expiry.

You are responsible for monitoring licence expiry, device requirements, usage allowances and renewal dates. Features, support and updates included in a licence are limited to those stated in the relevant product description or order.

7.Delivery, Activation, Updates and Support

Software may be delivered by download link, email, account dashboard, licence key, installer, cloud access or another method stated at purchase. You are responsible for meeting the published system requirements and maintaining compatible devices, operating systems, internet access and third-party accounts.

We may provide patches, updates, enhancements or replacements, but are not required to provide every new feature unless the purchased plan or written agreement includes it. Support channels, service hours and response commitments are those stated for the relevant product; no service level is promised unless expressly agreed in writing.

8.Acceptable Use and Legal Compliance

  • Use the Services only for lawful purposes and in compliance with applicable laws, regulations, platform rules and third-party rights.
  • Do not use the Services to send unlawful spam, deceptive messages, threats, harassment, fraudulent offers or communications to people who have opted out or where you lack a lawful basis.
  • Do not upload or process personal data unless you have the required rights, notices, permissions and lawful basis. Comply with applicable privacy, data protection, telemarketing, anti-spam, advertising and consumer-protection rules.
  • Do not attempt unauthorised access, disrupt service, introduce malware, scrape or misuse the platform, interfere with security controls, or use the Services to infringe intellectual-property rights.
  • Do not use the Services for unlawful surveillance, discrimination, impersonation, credential theft or other prohibited conduct.

9.Customer Content and Data Responsibilities

You retain rights you hold in Customer Content. You grant us a limited permission to host, process, transmit, back up and otherwise use Customer Content only as reasonably necessary to provide, secure, support and improve the Services, comply with law and perform our agreement with you, subject to the Privacy Policy and any data-processing agreement.

You are responsible for the accuracy, legality, quality, permissions and backups of Customer Content and for determining whether the Software is suitable for your intended use. Do not upload confidential, regulated or sensitive information unless the Service and written agreement expressly support that use.

You should export or back up data before licence expiry, account closure or a material software change. Data export, retention and deletion options vary by product and should be specified in the applicable product documentation.

10.AI, Prospecting and Communication Features

AI-generated outputs, analytics, search results and prospect data may be inaccurate, incomplete, outdated or unsuitable. You must independently verify important information and remain responsible for decisions and communications made using the Services.

Where Software provides lead generation, contact data, email, SMS, WhatsApp or other outreach features, you are solely responsible for selecting recipients, confirming lawful use of contact data, obtaining consent where required, maintaining suppression lists, honouring opt-outs, identifying messages appropriately and complying with sender/provider policies and applicable law.

Delivery, availability and volume of email, SMS, WhatsApp messages, third-party data, API calls or other functions may be affected by providers, configuration, account limits, filtering, carrier/network rules, rate limits and technical factors. We do not guarantee inbox placement, message delivery, open rates, replies, leads, sales or revenue.

11.Third-Party Services

Certain features may rely on third-party hosting, payment gateways, APIs, email providers, messaging platforms, analytics tools or other services. Your use of those services may be subject to separate terms and charges. We are not responsible for third-party services that we do not control, but this does not exclude responsibilities imposed on us by applicable law or a written agreement.

12.Intellectual Property and Feedback

We or our licensors retain all rights, title and interest in the Software, source code, designs, documentation, trademarks, branding, website materials and related intellectual property, except for rights expressly granted to you. No ownership is transferred by purchase of a licence.

If you provide suggestions or feedback, you grant us permission to use it without restriction or payment, provided this does not transfer ownership of your confidential information or Customer Content.

13.Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for the purposes of the relationship, except where disclosure is authorised, required by law or the information becomes public without breach. A separate NDA or enterprise agreement may impose additional obligations.

14.Suspension and Termination

You may stop using a Service and may cancel a subscription in accordance with the purchase terms. Unless a published policy or applicable law provides otherwise, cancellation prevents future renewal but does not automatically entitle you to a refund for a partially used term.

We may suspend or restrict access where reasonably necessary to address non-payment, security risks, unlawful use, material breach, provider restrictions or risk to the Services or other users. Where practicable, we will provide notice and an opportunity to remedy the issue. We may terminate for a material breach that remains uncured after reasonable notice, or immediately where necessary to address serious unlawful conduct or urgent security risk.

On expiry or termination, your licence ends and you must stop using the Software and remove copies where required by the licence. Any data export window, deletion timeline, outstanding payment obligation or post-termination right will be governed by the product terms and applicable law.

15.Refunds and Cancellations

Refund eligibility, cancellation deadlines and any non-refundable charges must be stated clearly on the relevant checkout page, invoice or product-specific refund policy before purchase. No provision of these Terms is intended to exclude a refund, cancellation or other remedy that is mandatory under applicable law.

To request a cancellation or refund, contact digitalpro18@gmail.com with your order number and reason. We may request reasonable information to verify the transaction and assess the request under the applicable policy.

16.Disclaimers and Warranties

Except for express commitments in a signed agreement and to the maximum extent permitted by law, the Services are provided on an “as available” basis. We do not warrant uninterrupted or error-free operation, compatibility with every device, correction of every defect, or any specific commercial result.

Nothing in these Terms excludes an express warranty or statutory consumer right that cannot lawfully be excluded. If a product-specific warranty applies, its scope, duration and remedy will be stated in the applicable documentation.

17.Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, punitive or consequential loss, or for loss of profits, revenue, business, anticipated savings, goodwill or data, arising out of the Services, even if advised that such loss was possible.

To the maximum extent permitted by law, our aggregate liability arising from a particular paid Service will not exceed the fees actually paid by you for that Service during the twelve (12) months immediately before the event giving rise to the claim. This limitation does not apply to liability that cannot lawfully be limited, including where prohibited by applicable law.

The limitations in this section apply only to the extent legally permitted and do not remove any non-excludable rights or remedies.

18.Indemnity

To the extent permitted by law, you agree to defend or compensate us for third-party claims, losses and reasonable costs arising from your unlawful use of the Services, your breach of these Terms, your infringement of third-party rights, or Customer Content you supplied, except to the extent caused by our own breach, negligence or wilful misconduct. We will give reasonable notice of a claim and allow you to participate in the defence. Any settlement that imposes obligations on us requires our prior written consent.

19.Changes to Services and Terms

We may update or discontinue features for technical, security, legal or business reasons. For material changes to paid Services, we will provide notice where reasonably practicable and as required by law or the applicable agreement. We may update these Terms by posting a revised version and date. Where required by law, we will obtain renewed acceptance or give additional notice.

20.Force Majeure

Neither party will be responsible for delay caused by events beyond its reasonable control, such as natural disasters, war, civil disturbance, government action, widespread network or infrastructure failure, labour disruption or third-party service outages, except that this clause does not excuse payment obligations already due or responsibilities that cannot legally be excused.

21.Governing Law and Disputes

These Terms are governed by the laws of India, subject to mandatory legal protections that apply to you. The parties will first attempt in good faith to resolve disputes through written notice and discussion. Subject to applicable law and any mandatory consumer forum or statutory jurisdiction, courts of competent jurisdiction in Mumbai, Maharashtra, India, shall have jurisdiction.

22.General Provisions

If any provision is held invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver. You may not transfer your rights or obligations without our prior written consent, except where applicable law permits otherwise. We may assign these Terms as part of a business transfer, subject to applicable law. These Terms, together with the applicable order and product-specific terms, form the agreement regarding the relevant Service.
